Boris Feldman specializes in securities
litigation and counseling. In its nationwide ranking of securities litigators, Chambers USA
awarded him its Band One designation (one of only two in the United States),
describing him as “simply one of the top practitioners in the country for
mammoth, bet-the-company securities litigation” – “tactically very smart and
knows the law cold.” The 2008
edition of Chambers
USA called him “an exceptionally gifted, incredibly smart lawyer with
excellent judgment.”
Other legal
publications have been similarly generous. The American Lawyer named Boris one of the top
45 lawyers in the country under the age of 45 in 1995. The San Francisco Chronicle profiled Boris as one
of the Top
Ten Lawyers in the Bay Area. The Recorder (the California affiliate of American Lawyer)
named Boris the "go to" securities defense
litigator in Northern California. The Los Angeles Daily Journal included him on its
list of the 100 most influential lawyers in California, as well as on its list
of top securities litigators in the state. He was recently profiled in SuperLawyers Magazine. LawDragon has chosen him as one of the 500 Leading Lawyers in America.
Boris has
defended over 150 shareholder class actions and derivative suits around the
country. Among his clients: Genentech, Facebook, Hewlett-Packard,

directors in internal investigations and represents companies and individuals
in SEC enforcement proceedings. He
regularly advises public companies on disclosure issues.
Boris was
born in South Bend, Indiana in 1955. He attended Yale College on a National
Merit Scholarship. At Yale, he was President of the Yale Debate Association and
Speaker of the Yale Political Union. Boris graduated from Yale in 1977 (summa cum laude,
Phi Beta Kappa,
with distinction in history).
Boris graduated from Yale Law School in 1980. There, he served as Note &
Topics Editor of The Yale Law Journal (Volume 89). He was also the Director of
Debating for Yale University.
Boris has
been at Wilson Sonsini Goodrich & Rosati
since 1986. He is a member of its Board of Directors and Chair of the firm's
Policy Committee. Prior to joining
Wilson Sonsini, Boris was law clerk to Judge Abraham D. Sofaer (S.D.N.Y.), as
associate at Arnold & Porter, and Special Assistant to the Legal Adviser at
the U.S. Department of State.
Boris has
served on a variety of boards related to securities law. He is currently a
member of the International Advisory Board of the Israel Securities Authority,
the Israeli equivalent of the U.S. SEC. He is a member of the Board of Advisors
of the Yale Law School Center for the Study of Corporate Law. He has served on
the Advisory Board of the Securities Regulation Institute. Boris also served as
a lawyer-representative to the Ninth Circuit Judicial Conference, a member of
the Ninth Circuit's Lawyer Representative Coordinating Committee, and co-chair
of the lawyer representatives to the Northern District of California.
Among other pro bono
activities, Boris is a member of the Board of Directors for the Endowment Fund
of San Mateo County Legal Aid. He served
on the Board of Directors of the Silicon Valley Campaign for Legal
Services. He has been outside
counsel to Palo Alto Community Eruv.
Boris has
lectured on shareholder and disclosure issues before ALI-ABA, American Society
of Corporate Secretaries, Glasser Legalworks, NASDAQ, National Investor
Relations Institute, New York Stock Exchange, PLI, Professional Liability
Underwriting Society, Risk & Insurance Management Society, SEC Institute,
Stanford Directors' College, and Software Publishers Association. He has
written articles on a variety of disclosure topics.
